By accessing and using NinjaNote, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service.

Description of Service

NinjaNote is a voice notes application that provides:

• Audio recording and storage
• Automatic transcription via AI
• Intelligent categorization and summarization
• Cloud storage and synchronization
• Note sharing and collaboration
• Multi-device synchronization

Account Registration

To use NinjaNote, you must:

• Be at least 13 years old
• Have a valid Google account for authentication
• Provide accurate and complete information
• Maintain the security of your account
• Be responsible for all activity under your account

Credits and Payments

NinjaNote uses a credit system for audio transcription:

• 1 credit = 1 minute of audio transcription (rounded up)
• Credits can be purchased through our payment system
• Credits are non-refundable once purchased
• Credits cannot be transferred between accounts
• We reserve the right to change credit prices with 30 days notice
• New users may receive welcome credits as a promotion

Acceptable Use Policy

You agree NOT to use NinjaNote to:

• Violate any laws or regulations
• Upload harmful, offensive, or inappropriate content
• Infringe on intellectual property rights of others
• Distribute malware, viruses, or malicious code
• Send spam or unsolicited communications
• Impersonate others or misrepresent your identity
• Scrape, crawl, or systematically collect data
• Reverse engineer or attempt to extract source code
• Resell or commercially exploit the service without permission

Content Ownership and License

You retain all rights to your notes, recordings, and content. You are solely responsible for the content you create.

By using NinjaNote, you grant us a limited license to store, process, and transmit your content solely to provide the service to you.

NinjaNote, its logo, and all related marks are our property. You may not use them without permission.

Shared Notes

When you share notes with other users:

• You are responsible for managing access permissions
• You can revoke access at any time
• Shared users have read-only or edit access as you specify

Third-Party Services

Our service integrates with third-party services (OpenAI, Google, Firebase, Stripe, Resend). Your use of these services is subject to their respective terms and privacy policies.

We are not responsible for the actions, content, or policies of third-party services.

Service Availability

While we strive for high availability, we do not guarantee uninterrupted access to NinjaNote. The service may be temporarily unavailable due to:

• Scheduled maintenance
• Technical issues or outages
• Security incidents
• Force majeure events beyond our control

Termination

You may delete your account at any time through the app settings or by contacting us. Upon deletion, all your data will be permanently removed.

We reserve the right to suspend or terminate your account if you violate these Terms of Service or for any other reason with notice.

Upon termination, your access to the service will cease and your data will be deleted according to our retention policy.

Disclaimers

• We do not guarantee the accuracy of AI transcriptions or categorizations
• We do not guarantee continuous, uninterrupted access
• The service may contain bugs or errors
• No system is completely secure; we cannot guarantee absolute security

Limitation of Liability

Indemnification

You agree to indemnify and hold harmless NinjaNote from any claims, damages, losses, or expenses arising from your use of the service or violation of these terms.

Changes to Terms

We may modify these Terms of Service at any time. Continued use of the service after changes constitutes acceptance of the new terms.

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or use of the service shall be resolved through good faith negotiation. If negotiation fails, disputes may be subject to binding arbitration or court proceedings as allowed by law.
